Standard Mercantile Contract

Terms of Global Trade

These terms define the commercial, logistics, financial, and risk-allocation parameters under which Sanskriti Global Exim contracts with international institutional buyers, importers, and industrial processors.

Clause 1.0

Contract Formation & Commercial Quotations

All commercial proposals, spot quotations, and price matrices issued by Sanskriti Global Exim are indicative and subject to written re-confirmation due to prevailing agricultural market price fluctuations. A binding export commitment is established exclusively upon issuance of a formal Proforma Invoice (PI) duly countersigned by both buyer and seller.

Proforma Invoice Validity Window:

Due to perishable crop commodity index volatility at APMC mandis, formal quotations expire within five (5) business days from transmission date unless specifically agreed otherwise in writing.

Clause 2.0

Delivery Terms & Shipping Coordination

Shipping and transport arrangements depend on the product, destination, supplier capabilities, and mutual agreement with the buyer. Delivery terms are evaluated and confirmed for individual transactions:

FOB Coordination (Free on Board)

When FOB terms are agreed, sourcing coordination covers domestic transit from sourcing points to designated Indian container ports (such as JNPT / Nhava Sheva, Mundra, or other suitable gateways), handling export documentation and port handover. Ocean freight and destination logistics are managed by the buyer.

CIF / CFR Coordination (Discharge Port)

When CIF or CFR terms are agreed, ocean freight space and transit insurance arrangements are coordinated through third-party logistics providers as specified in the commercial contract. Destination customs clearance and import duties remain the responsibility of the buyer.

Clause 3.0

Payment Terms & Settlement Architecture

Export consignments are secured exclusively through verified international trade finance structures:

  • 1. Irrevocable Documentary Letter of Credit (LC at Sight): Issued or confirmed by an internationally recognized Tier-1 commercial banking syndicate. LC must be payable 100% at sight upon presentation of complete compliant shipping documentation.
  • 2. Telegraphic Transfer (T/T Advance + B/L): Standard terms comprise 30% advance deposit upon contract confirmation to fund crop aggregation and sorting, with remaining 70% balance payable against transmission of clean on-board Ocean Bill of Lading (B/L) copy.
Clause 4.0

Quality Inspection & Order-Specific Verification

Product specifications, grading criteria, and moisture parameters are confirmed prior to order confirmation. Independent pre-shipment inspection by accredited surveying agencies (such as SGS India, Bureau Veritas, or mutually agreed surveyors) can be arranged upon buyer request and agreement for the individual order.

Inspection certificates and retained reference samples provide documented verification of contracted parameters prior to container dispatch.

Clause 5.0

Statutory Export & Shipping Documentation

Export documentation is coordinated for individual shipments using qualified external support and statutory authorities based on destination requirements:

verified Government Phytosanitary Certificate
verified Certificate of Origin (Chamber of Commerce)
verified Clean On-Board Ocean Bill of Lading
verified Commercial Invoice & Detailed Packing List
verified Fumigation Certificate (where applicable)
verified Third-Party Lab Test Analysis (when agreed)
Clause 6.0

Marine Transit & Force Majeure

Neither party shall be held legally responsible for breach or failure to perform contractual commitments when such failure is caused by an act of Force Majeure as codified under the ICC Force Majeure Clause 2020. This includes governmental export embargoes, war, sovereign maritime blockades, pandemics, port labor strikes, or natural catastrophic disasters impacting regional cultivation.
